At a General Meeting of the members of the above-named Company duly convened and held at White Maund LLP, 44-46 Old Steine, Brighton, East Sussex BN1 1NH on 20 May 2013, the following special and ordinary resolutions were duly passed:
1. “That it has been proved to the satisfaction of this meeting that the Company cannot by reason of its liabilities, continue its business, and that it is advisable to wind up the Company, and accordingly that the Company be wound up voluntarily.”
2. “That Susan Maund and Christopher Latos of White Maund LLP, 44-46 Old Steine, Brighton, East Sussex BN1 1NH be and they are hereby appointed Joint Liquidators for the purposes of such winding up.”
3. “That the Joint Liquidators are to act jointly and severally.”
