At an Extraordinary General Meeting of the above-named Company, duly convened, and held at No 1 St Swithin Street, Worcester WR1 2PY, on 7 April 2009, the subjoined Special Resolution was duly passed:

“That is has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same and accordingly that the Company be wound up voluntarily and that Neil Francis Hickling, of Smith & Williamson Limited, No 1 St Swithin Street, Worcester WR1 2PY, be and is hereby appointed Liquidator for the purposes of such winding-up.

At a subsequent Meeting of Creditors held at No 1 St Swithin Street, Worcester WR1 2PY, on 7 April 2009, the appointment of Neil Francis Hickling was confirmed by the Creditors.
