(t/a Skipton Pine) At an Extraordinary General Meeting of the above-named Company, duly convened, and held on 5 August 2005, the subjoined Resolutions were duly passed, as an Extraordinary Resolution and as Ordinary Resolutions respectively: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the same and that accordingly the Company be wound up voluntarily, that Christopher Charles Garwood and Francesca Patrice Devine, both of Carrick Read Insolvency, Norwich House, Savile Street, Hull, be and they are hereby appointed as Joint Liquidators for the purposes of the winding-up, and that the Liquidators be entitled to act separately as well as jointly.” Chairman
