At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Concept House, Brooke Street, Cleckheaton, West Yorkshire BD19 3RY, on 22 July 2005, the subjoined Resolutions were duly passed, as an Extraordinary Resolution and as an Ordinary Resolution respectively: “That it has been proved to the satisfaction of the Company that this Company cannot, by reason of its liabilities, continue its business, and that it is advisable that the same should be wound up; and that accordingly the Company be wound up voluntarily, and that Andrew T Clay, of Andrew Michaels & Co Ltd, Concept House, Brooke Street, Cleckheaton, West Yorkshire BD19 3RY, be and is hereby appointed the Liquidator of the Company for the purposes of such a winding-up.” A Reynard, Chairman
