Resolutions for Winding-up
HAMPTONS PAINT AND VARNISH CO LIMITED
At an Extraordinary General Meeting of the Company, duly convened, and held at the offices of West-Webbe & Co, 1299-1301 London Road, Leigh on Sea, Essex SS9 2AD, on 18 December 2002, the following Resolutions were passed, as an Extraordinary Resolution and as an Ordinary Resolution respectively: “That it has been proved to the satisfaction of the Meeting that the Company could not, by reason of its liabilities, continue its business, and it is advisable to wind up the same, and accordingly that the Company be and is wound up voluntarily, and that James Stephen Pretty, of Benedict Mackenzie, 9 Purkess Close, Chandlers Ford, Eastleigh, Hampshire SO53 2ED, be and he is hereby appointed Liquidator of the Company.” At a Meeting of Creditors held on 18 December 2002, the Creditors confirmed the appointment of James Stephen Pretty as Liquidator.
