At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Crown House, 37-41 Prince Street, Bristol BS1 4PS, on 18th December 1998, the following Extraordinary Resolution was duly passed: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is desirable that the same should be wound up, and that the Company be wound up accordingly, and that Peter Engel, of BDO Stoy Hayward, Oakfield House, Oakfield Grove, Clifton, Bristol, be and he is hereby appointed the Liquidator of the Company for the purposes of such winding-up.” J.
