At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Hampsthwaite Head, Hampsthwaite, Harrogate HG3 2HT, on 14th December 1998, the subjoined Resolutions were duly passed, as a Special Resolution and as an Extraordinary Resolution respectively: “That the Company be wound up voluntarily and that A. C. Fozzard, of Brown Butler & Co., Yorkshire Bank Chambers, Infirmary Street, Leeds LS1 2JT, be and he is hereby appointed Liquidator for the purpose of such winding-up, and that the Liquidator be authorised under the provisions of section 165(2) of the Insolvency Act 1986 to exercise the powers laid down in Schedule 4 Part I, paragraph I, to pay any class of Creditor in full.” H.
