At an Extraordinary General Meeting of the above-named Company, duly convened, and held at 8 High Street, Yarm, Stockton-on-Tees TS15 9AE, on 22nd December 1997, the following Special Resolution was duly passed: “That the Company be wound up voluntarily, and that J.
