Notice is hereby given that on 13th April 2010 a Petition was presented to the Court of Session in Scotland (the “Court”) by Lloyds TSB Scotland plc, a company incorporated in Scotland with its registered office at Henry Duncan House, 120 George Street, Edinburgh EH2 4LH (“LTSBS”) and by Lloyds TSB Bank plc, a company incorporated in England and Wales with its registered office at 25 Gresham Street, London EC2V 7HN (“LTSBB”). In the Petition, LTSBS and LTSBB have applied for an order of the Court under Part VII of the Financial Services and Markets Act 2000 (the “Act”) sanctioning a scheme (the “Scheme”), under which part of the corporate and commercial deposit-taking and associated business of LTSBS is to be transferred to LTSBB.
Copies of the Petition, the information sent to LTSBS customers who are affected by the Scheme and a Statement containing the terms of the Scheme may be obtained by any person, free of charge, by calling 0131 260 0050 Monday to Friday between 09.00hrs and 17.00hrs (local time) or by writing to Lloyds TSB Scotland plc, Chief Operating Office, Henry Duncan House, 120 George Street, Edinburgh EH2 4LH (Ref. XKN018) until the date on which the Court sanctions the Scheme. That date is currently expected to be 14th May 2010.
In accordance with the Financial Services and Markets Act 2000 (Control of Business Transfer) (Requirements on Applicants) Regulations 2001, LTSBS and LTSBB will publish a series of notices in relation to the Petition. These are expected to be published in The Belfast Gazette, The Edinburgh Gazette, The London Gazette, The Times, The Financial Times, The Scotsman and The Herald.
Any person who believes that he or she would be adversely affected by the carrying out of the Scheme may lodge written Answers (written objections) to the Petition with the Court at Parliament House, Parliament Square, Edinburgh, EH1 1RQ, which should be done within 21 days of the publication of the last of these notices, and which is expected to be on or around 20th April 2010. It is likely that the Court will allow objections in person at the hearing where that person has not previously lodged written Answers (written objections), but this cannot be guaranteed.
This notice is given pursuant to Regulation 3(2) of the Financial Services and Markets Act 2000 (Control of Business Transfers) (Requirements on Applicants) Regulations 2001 and has been approved by the Financial Services Authority.
