RESOLUTIONS FOR VOLUNTARY WINDING UP
At an Extraordinary General Meeting of the shareholder of the above‑named company, duly convened constituted and held at Pinsent Masons Ireland LLP, 1 Windmill Lane, Dublin Docklands, Dublin 2, D02 F206 on 23 March 2026 at 12.30pm, the following resolutions were passed:
SPECIAL RESOLUTION
“THAT as the Company cannot by reason of its liabilities continue its business, that it be wound up as a creditors’ voluntary liquidation pursuant to Article 70 of the Insolvency (Northern Ireland) Order 1989.”
ORDINARY RESOLUTION
“THAT Luke Charleton and Andrew Dolliver, both of EY, 22 Bedford Street, Belfast, BT2 7EL be and are hereby appointed Joint Liquidators of the Company for the purpose of such winding up.”
