At an Extraordinary General Meeting of the above-named Company, duly convened, and held at BDO NI, The Metro Building, First Floor, 6-9 Donegall Square South, Belfast, BT1 5JA on the 17 February 2023 the following subjoined Special and Ordinary Resolutions were duly passed, viz:-

RESOLUTION

1) THAT it has been proved to the satisfaction of this meeting that the Company cannot by reason of its liabilities continue its business and that it is advisable to wind up the same and accordingly that the Company be wound up voluntarily; and

2) THAT Michael Jennings and Brian Murphy, Licensed Insolvency Practitioners, of Messrs BDO NI, The Metro Building, First Floor, 6-9 Donegall Square South, Belfast, BT1 5JA are hereby appointed Joint Liquidators for the purpose of such winding up and are to act jointly and severally.

At a subsequent Meeting of Creditors, duly convened pursuant to Article 84 of the Insolvency (Northern Ireland) Order 1989, and held on the same day, the appointment of Michael Jennings and Brian Murphy was confirmed.
