This Notice is given under Rule 15.13 of the Insolvency (England & Wales) Rules 2016 ("the Rules"). It is delivered by the Liquidator of the Company and the convener of the meeting, Engin Faik, of Cornerstone Business Turnaround and Recovery Limited, 136 Hertford Road, Enfield, EN3 5AX (IP No. 9635) (Tel number 020 3793 3338) who was appointed by the Creditors on 16 April 2021.
This follows a request for a requisitioned decision from one or more creditors under Section 171 (2) of the Insolvency Act 1986. The purpose of the meeting is to consider the removal of Engin Faik as Liquidator. Creditors are therefore invited to attend a virtual meeting for the purposes of considering the following:
1. That a Liquidation Committee should be established if sufficient creditors are willing to be members of a committee.
2. That in accordance with Section 171(2)(b) of the Insolvency Act 1986, Engin Faik be removed as Liquidator.
3. That in accordance with Section 173(2A) of the Insolvency Act 1986, Engin Faik shall have his release with effect from the time at which notice is given to the prescribed person.
4. That in accordance with Rules 15.19 (4) and 15.19 (5) that the expenses of the requisitioned meeting, be payable as an expense of the winding up.
5. *Nominations for an alternative Liquidator in the event that Resolution 2 (above) is approved.
Should Resolution 2 be passed, creditors will need to consider nominations of an alternative Liquidator. Nominations for an alternative Liquidator will be presented to the meeting and any consent to act must be received prior to presenting a nomination. In the event of more than one nomination for an alternative Liquidator, a vote will be taken at the meeting.

This virtual meeting will be recorded in order to establish and maintain records of the existence of relevant facts or decisions that are taken at the meeting. By attending this meeting, you consent to being recorded. Where any recording of the meeting also entails the processing of personal data, such personal data shall be treated in accordance with the Data Protection Act 2018.
The virtual meeting may be suspended or adjourned by the chair of the meeting (and must be adjourned if it is so resolved at the meeting).
To be entitled to vote, those attending must submit a proxy form, together with a proof of debt if one has not already been submitted, to the Liquidator by one of the following methods:

All proofs of debt must be delivered by: 4pm on 21 June 2021. All proxy forms must be delivered to the convener or chair before they may be used at the meeting fixed for 11.00am on 22 June 2021
If a proof of debt has not been received by the time specified above (whether submitted previously or as a result of this Notice), that creditor's vote will be disregarded. Any creditor whose debt is treated as a small debt in accordance with Rule 14.31(1) of the Rules must still deliver a proof if the creditor wishes to vote. A creditor who has opted out from receiving notices may nevertheless vote if the creditor also provides a proof by the time set out above.
Creditors who meet one or more of the statutory thresholds listed below may, within 5 business days from the date of the delivery of this Notice, require a physical meeting to be held to consider the matters detailed above. It should be noted that under Covid pandemic provisions this will also be held virtually.
Statutory thresholds to request a meeting: 10% in value of the creditors, 10% in number of the creditors 10 creditors
Creditors who have taken all steps necessary to attend the virtual meeting under the arrangements made by the convener, but that do not enable them to attend the whole or part of the meeting, may complain under Rule 15.38 of the Rules. A complaint must be made as soon as reasonably practicable and, in any event, no later than 4pm on the business day following the day on which the person was, or appeared to be, excluded; or where an indication is sought under Rule 15.37, the day on which the complainant received the indication.
A creditor may appeal a decision by application to the court in accordance with Rule 15.35 of the Rules. Any such appeal must be made not later than 21 days after the Decision Date.
Unless they surrender their security, secured creditors must give particulars of their security, the date when it was given and the estimated value at which it is assessed if they wish to vote.
