Passed
Pursuant to section 381A of the Companies Act 1985, on 31 October 2006 the following resolutions were passed in respect of each of the above companies Number 1 as a special resolution, Number 2 as an ordinary resolution and Number 3 as an extraordinary resolution:
That the Company be wound up voluntarily;
That A S Wood and S D Chandler of Mazars LLP, Lancaster House, 67 Newhall Street, Birmingham B3 1NG are hereby appointed Joint Liquidators for the purpose of such winding-up; and
That the Joint Liquidators be authorised to distribute, in specie, the Company’s property or any proceeds of sale or disposal of the property of the Company.
