At a General Meeting of the above named Company Limited by Guarantee, duly convened, and held at the offices of BM Advisory, 82 St John Street, London, EC1M 4JN on 16 January 2014 the following resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution:-

“That it has been proved to the satisfaction of this meeting that the Company Limited by Guarantee cannot, by reason of its liabilities, continue its business, and that it is advisable to wind-up the same, and accordingly that the Company Limited by Guarantee be wound-up voluntarily; and that Michael Solomons, of BM Advisory, 82 St John Street, London, EC1M 4JN and Andrew Pear, of BM Advisory, Arundel House, 1 Amberley Court, Whitworth Road, Crawley, West Sussex RH11 7XL, (IP Nos 9043 and 9016) be and are hereby appointed Joint Liquidators for the purposes of such winding up, and are to act jointly and severally.” At a subsequent Meeting of Creditors, duly convened pursuant to Section 98 of the Insolvency Act 1986, and held on the same day, the appointment of Michael Solomons and Andrew Pear was confirmed.
