The following resolutions are proposed for consideration by the Company’s shareholder, Nos 1, 3 and 4 as Special Resolutions and Nos 2 and 5 as Ordinary Resolutions of the Company:

Resolutions (For)

1. That the Company be wound up voluntarily.

2. That Nigel Ian Fox and David James Green be appointed Joint Liquidators of the Company, and that they act jointly and severally.

3. That the Joint Liquidators be authorised to pay unsecured creditors in full.

4. That the Joint Liquidators be authorised to pay a distribution in specie by way of a special distribution on the ordinary shares consisting of a loan note dated on or around the date of the resolutions in favour of the Company for the value of £2,309,527.50.

5. That the Joint Liquidators’ fees will be charged by reference to the time properly spent by them and their staff in dealing with the matters relating to the liquidation of the Company. That the Joint Liquidators’ fees will be capped at £3,500 plus disbursements and VAT.
