“That it has been proved to the satisfaction of this Meeting and that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the Company, and accordingly that the Company be wound up voluntarily.”

“That Thomas D’Arcy and Susan Maund of White Maund LLP, 44-46 Old Steine, Brighton, East Sussex BN1 1NH be and they are hereby appointed Joint Liquidators for the purposes of such winding up.”

“That the Joint Liquidators are to act jointly and severally.”
