At a General Meeting of the members of the above named company, duly convened and held at Regus, 1 Aston Court, Kingsmead Business Park, High Wycombe, Buckinghamshire HP11 1LA on 7 November 2012 the following resolutions were duly passed; No 1 as a special resolution and No 2 as an ordinary resolution: -

At a subsequent meeting of creditors held on the same day pursuant to Section 98 of the Insolvency Act 1986, the appointment of Robert Day as Liquidator of the Company was confirmed by the company’s creditors.

1.“That it has been proved to the satisfaction of this meeting that the company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the company be wound up voluntarily”.

2.“That Robert Day of Robert Day and Company Limited, The Old Library, The Walk, Winslow, Buckingham MK18 3AJ be and he is hereby appointed Liquidator of the Company for the purpose of the voluntary winding-up”.
