At a General Meeting of the above-named Company, duly convened, and held at the office of BDO LLP, Kings Wharf, 20-30 Kings Road, Reading RG1 3EX on 25 April 2012 the subjoined Special Resolution was duly passed, viz:

That it has been proved to the satisfaction of this meeting that it is advisable to wind up the company and, accordingly, the company be wound up voluntarily, and that Martha H Thompson and Andrew H Beckingham, Licensed Insolvency Practitioners, of BDO LLP, Kings Wharf, 20-30 Kings Road, Reading RG1 3EX, are hereby appointed Joint Liquidators for the purposes of such winding up, and are to act jointly and severally.

At a subsequent Meeting of Creditors, duly convened pursuant to Legislation section: Section 98 of the Legislation: Insolvency Act 1986, and held on the same day, the appointment of Martha H Thompson and Andrew H B eckingham was confirmed.
