SPECIAL RESOLUTION

(Pursuant to Section 378(2) of the Companies Act 1985 and Section 84(1) of the Insolvency Act 1986)

At an Extraordinary General Meeting of the above named company, duly convened and held at 93 Queen Street, Sheffield S1 1WF on 9 February 2012 at 10.30 am the subjoined Special Resolution and Four Ordinary Resolutions were duly passed, viz:-

1. It has been proved to the satisfaction of the Meeting that this Company should be voluntarily wound up and that the Company be wound up accordingly.

2. John Russell and Andrew Philip Wood of The P&A Partnership, 93 Queen Street, Sheffield, S1 1WF Insolvency Practitioners duly qualified under the Insolvency Act 1986, be and are hereby appointed the Joint Liquidators of the Company for the purposes of such winding up.

3. That the remuneration of the Joint Liquidators be fixed by reference to time properly incurred.

4. The Joint Liquidators may exercise the powers contained in Schedule 4 in Part 1 of the Insolvency Act 1986 and may divide among the members in specie the whole or any part of the assets of the Company.

5. Any act to be done by the Joint Liquidators may be done by any one of them.
