At a General Meeting of the members of the above named company, duly convened and held at Hart Shaw, Europa Link, Sheffield Business Park, Sheffield S9 1XU on 7 December 2011 the following resolutions were duly passed; Number 1 as a special resolution and Number 2 as an ordinary resolution:-

1. “That the Company be wound up voluntarily”.

2. “That Andrew Maybery and Christopher Brown of the firm of Hart Shaw, Chartered Accountants, be and are hereby appointed Joint Liquidators of the Company for the purposes of the voluntary winding up and that the Joint Liquidators are empowered to act jointly and severally.”
