At a general meeting of the Company, duly convened and held at 12.00 noon on 1 March 2011 at 15 Golden Square, London W1F 9JG the following Resolutions were duly passed as Special Resolutions:

1. That the Company be wound up voluntarily.”

2. That Michael Ian Field and Carl Derek Faulds of Portland Business & Financal Solutions Limited, 1640 Parkway, Solent Business Park, Whiteley, Fareham, Hampshire PO15 7AH be and are hereby appointed Joint Liquidators for the purposes of such winding-up, and are to act jointly and severally.

3. That the Liquidators be authorised under the provisions of Section 165(2) of the Insolvency Act 1986 to exercise the powers laid down in Schedule 4, Part I, of the Insolvency Act 1986.
