At a General Meeting of the above-named Company, duly convened and held at the offices of Bridge Business Recovery, 3rd Floor, 39-45 Shaftesbury Avenue, London W1D 6LA on 2 February 2011 at 3.00 pm, the subjoined special resolution was duly passed, viz:

SPECIAL RESOLUTION

“That the Company be wound up voluntarily and that Andrew John Duncan and James Preston Bradney, Licensed Insolvency Practitioners of Bridge Business Recovery, 3rd Floor, 39-45 Shaftesbury Avenue, London W1D 6LA, be appointed Joint Liquidators for the purposes of such winding up and that the Joint Liquidators be remunerated the sum of £10,000 plus VAT and disbursements of £3,000 plus VAT for placing the Company into Liquidation and making the initial distribution. Thereafter, the Joint Liquidators are entitled to draw fees on a time cost basis together with category 1 & 2 disbursements.
