The Insolvency Act 1986 and the Companies Act 2006

At a Special General Meeting of the members of the above named company, duly convened and held at 20 Brunswick Place, Southampton SO15 2AQ on 30 November 2010 at 11.00 am, the following resolutions were duly passed; No 1 as a special resolution and No 2 as an ordinary resolution:-

1. “That the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily”.

2. “That Terry Christopher Evans (IP No. 6416) of Rogers Evans, 20 Brunswick Place, Southampton SO15 2AQ be and is hereby appointed Liquidator for the purpose of such winding up”.

Meeting of Creditors

At the subsequent meeting of creditors held pursuant to Section 98 of the Insolvency Act 1986 at Rogers Evans, 20 Brunswick Place, Southampton SO15 2AQ on 30 November 2010 at 11.30 am the appointment of Terry Christopher Evans as Liquidator was confirmed by creditors.
