At A General Meeting of the Members of the above-named Company, duly convened, and held at The Hart Shaw Building, Europa Link, Sheffield Business Park, Sheffield S9 1XU, on 28 September 2010, the following Resolutions were duly passed, No 1 as a Special Resolution and No 2 as an Ordinary Resolution:

1. “That the Company be wound up voluntarily.”

2. “That Andrew Maybery and Christopher Brown of the firm of Hart Shaw LLP, be and are hereby appointed Joint Liquidators of the company for the purposes of the voluntary winding-up and that the Joint Liquidators are empowered to act jointly and severally.”
