At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at Peats, Canford House, Discovery Court, 551-553 Wallisdown Road, Poole, Dorset BH12 5AG, on 10 August 2010, the subjoined Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively:

“That is have been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the same and accordingly that the Company be wound up voluntarily and that Nicholas James Peat, of Peats, Canford House, Discovery Court, 551-553 Wallisdown Road, Poole, Dorset, be and he is hereby appointed Liquidator for the purpose of such winding-up.”
