At an Extraordinary General Meeting of the members of the above named company, duly convened and held at Regus, 4th Floor, Victoria House, Victoria Road, Chelmsford CM1 1JR on 23 July 2010 the following resolutions were duly passed; No 1 as a special resolution and No 2 as an ordinary resolution:

1. “That it has been proved to the satisfaction of this meeting that the company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the company be wound up voluntarily”.

2. “That Robert Day of Robert Day and Company Limited, The Old Library, The Walk, Winslow, Buckingham MK18 3AJ be and he is hereby appointed Liquidator of the Company for the purpose of the voluntary winding-up”.
