At a General Meeting of the above-named Company, convened, and held at Bridge House, Riverside North, Bewdley, Worcestershire, DY12 1AB on Wednesday 09 June 2010 at 11.00am the following resolutions were passed as a Special Resolution and as an Ordinary Resolution respectively:

“That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that the Company be wound up voluntarily, and that Nickolas Garth Rimes and Adam Peter Jordan, both of Rimes & Co, Bridge House, Riverside North, Bewdley, Worcestershire, DY12 1AB, (IP Nos 009533 and 009616) be appointed as Joint Liquidators of the Company for the purposes of the voluntary winding-up.”
