Ironbridge Fund II, L.P.

Notice is hereby given that, pursuant to section 10 of the Limited Partnerships Act 1907, with effect from 25 February 2010:

(a) HSBC Partners Group Global Private Equity transferred (i) 61.85 per cent of the interest held by it in Ironbridge Fund II, L.P. a Limited Partnership registered in England with No LP011517 (the “Partnership”) to JP Morgan European Pooled Corporate Finance Institutional Investors IV LLC; (ii) 2.5 per cent of the interest held by it in the Partnership to JP Morgan Corporate Finance Institutional Offshore Investors IV L.P.; (iii) 33.15 per cent of the interest held by it in the Partnership to JP Morgan Secondary Private Equity Investors LLC; and 2.5 per cent of the interest held by it in the Partnership to 522 Fifth Avenue Fund L.P.; and

(b) JP Morgan European Pooled Corporate Finance Institutional Investors IV LLC, JP Morgan Corporate Finance Institutional Offshore Investors IV L.P., JP Morgan Secondary Private Equity Investors LLC and 522 Fifth Avenue Fund L.P. were admitted as Limited Partners in the Partnership (in respect of the transferred interests referenced herein) and HSBC Partners Group Global Private Equity ceased to be a Limited Partner in the Partnership.
