At a General Meeting of the above named Company convened, and held at Bridge House, Riverside North, Bewdley DY12 1AB on 19 February 2010 at 11.00 am, the following Special Resolution and Ordinary Resolution were duly passed:

“That it has been proved to the satisfaction of the meeting that the Company cannot, by reason of its liabilities, continue its business, and that the Company be wound up voluntarily, and that Nickolas Garth Rimes and Adam Peter Jordan, both of Rimes & Co, Bridge House, Riverside North, Bewdley, Worcestershire, DY12 1AB, be appointed as Joint Liquidators of the Company for the purposes of the voluntary winding-up.”
