At a general meeting of the above named company convened and held at Mazars LLP, Cartwright House, Tottle Road, Nottingham NG2 1RT on 12 January 2010 at 11.00 am the following resolutions were passed, No. 1 as a special resolution and No. 2 as an ordinary resolution.

1. That the company be wound up voluntarily.

2. That Simon David Chandler and Alistair Steven Wood of Mazars LLP of Cartwright House, Tottle Road, Nottingham NG2 1RT be appointed as Joint Liquidators of the company for the purposes of the voluntary winding-up and that they be authorised to act jointly and severally.
