WHEB Ventures Private Equity Limited Partnership

Notice is hereby given, pursuant to section 10 of the Limited Partnerships Act 1907, that on 16 December 2009 Jonathan Bailey transferred all of his interest held by him in WHEB Ventures Private Equity Limited Partnership, a limited partnership registered in England with number LP009354 (the “Partnership”), as follows: (i) 55.30%, represented by a capital contribution of £55.30, to Bond Street Custodians Limited as custodian for Macquarie Investment Management Limited as trustee for the Macquarie Clean Technology Fund, (ii) 31.52%, represented by a capital contribution of £31.52, to Bond Street Custodians Limited as custodian for the Macquarie Clean Technology Offshore Fund L.P., and (iii) 13.18%, represented by a capital contribution of £13.18, to Bond Street Custodians Limited as custodian for the Macquarie Clean Technology Fund L.P. and that with effect from 16 December 2009 Jonathan Bailey ceased to be a limited partner in the Partnership and Bond Street Custodians Limited as custodian for Macquarie Investment Management Limited as trustee for the Macquarie Clean Technology Fund, Bond Street Custodians Limited as custodian for the Macquarie Clean Technology Offshore Fund L.P. and Bond Street Custodians Limited as custodian for the Macquarie Clean Technology Fund L.P. became limited partners in the Partnership.
