At a General Meeting of the above named company duly convened, and held at Torrington House, 47 Holywell Hill, St Albans, Hertfordshire, AL1 1HD on 08 January 2010 at 3.15pm, the following resolutions were duly passed as a Special Resolution and as an Ordinary Resolution:

“That the Company be wound up voluntarily and that Peter   Nicholas   Wastell   and Michael   William   Young  , both of Vantis Business Recovery Services, Torrington House, 47 Holywell Hill, St Albans, Hertfordshire, AL1 1HD, be and are hereby appointed Joint Liquidators for the purposes of such winding-up.”
