At a General Meeting of the above-named Company held at Nexus House, 2 Cray Road, Sidcup, Kent DA14 5DB on 17 December 2009 the following Resolutions were duly passed as a Special Resolution and as an Ordinary Resolution:

“That the Company be wound up voluntarily and that Andrew Tate and Nedim Ailyan, both of Abbott Fielding Limited, Nexus House, 2 Cray Road, Sidcup, Kent DA14 5DB, are appointed Joint Liquidators for the purposes of the voluntary winding up and any act required or authorised under any enactment to be done by the Joint Liquidators is to be done by all or any one or more of the persons for the time being holding office.”
