At General Meetings of the above named companies convened and held at Fleet House, New Road, Lancaster LA1 1EZ on 18 December 2009 at 11.00 am the following special resolution numbered 1 and ordinary resolution numbered 2 were passed in respect of each company:

1. That the company be wound up voluntarily.

2. That Diane Elizabeth Hill and Mark Terence Getliffe, CLB Coopers, Century House, 11 St Peter’s Square, Manchester M2 3DN be appointed Joint Liquidators of the companies for the purposes of the voluntary winding-up.
