Pursuant to Chapter 2 of Part 13 of the Companies Act 2006 on 14 December 2009, the directors of the Company propose that following resolutions shall for all purposes be as valid and effective as if the same had been passed at a general meeting of the Company duly convened and held. The required numbers of votes were received and the special resolution passed on 14th December 2009:-

“That the company be wound up voluntarily and that Sandra McAlister, of McAlister & Co, 10 St Helens Road, Swansea, SA1 4AW, be and she is hereby appointed Liquidator of the company for the purpose of such winding up.”
