At a General Meeting of the members of the company duly convened and held at Chantrey Vellacott DFK, 1st Floor, 16/17 Boundary Road, Hove, East Sussex BN3 4AN on 9 December 2009 the following resolutions were duly passed; No 1 as a special resolution and No 2 as an ordinary resolution:-

1. That the Company be wound up voluntarily.

2. That Kenneth Touhey and David John Oprey of 16/17 Boundary Road, Hove, East Sussex BN3 4AN be and are hereby appointed as Joint Liquidators for the purposes of such winding up, and that the Joint Liquidators are to act jointly and severally.
