At a General Meeting of the Company convened and held at Trafalgar House, Grenville Place, London NW7 3SA on 9 December 2009 at 1.30 pm the following special resolution numbered one and ordinary resolution numbered two were passed:

1. That the Company be wound up voluntarily.

2. That Jeffrey Mark Brenner, Licensed Insolvency Practitioner of B&C Associates LLP, Trafalgar House, Grenville Place, Mill Hill, London NW7 3SA be appointed Liquidator of the Company for the purposes of voluntary winding-up.
