At the General Meeting of the Members of the above-named Company, duly convened, and held at The Holiday Inn, Clayton Road, Stoke on Trent, ST5 4DL on 24 November 2009 the following Special Resolutions were duly passed:-

“That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that H J Sorsky and Stella Davis, both of SPW Poppleton & Appleby, Gable House, 239 Regents Park Road, London N3 3LF, be and they are hereby appointed as Joint Liquidators for the purposes of such winding-up and that any act required or authorised under any enactment to be done by the Joint Liquidators may be done by all or any one or more of the persons at the time being holding office as Liquidator.”
