At a General Meeting of the above named Company convened and held at Premier Inn, Durham Motorway Service Area, J61 A1 (M), Tursdale Road, Bowburn, Durham DH6 5NP on 18 November 2009 at 2.30 pm the following Special Resolution numbered one and Ordinary Resolution numbered two were passed:

1. That the Company be wound up voluntarily.

2. That Alan D Fallows of Baines & Ernst Corporate Ltd, Lloyds House, 18-22 Lloyd Street, Manchester M2 5BE, be appointed Liquidator of the Company for the purposes of the voluntary winding-up.
