At an Extraordinary General Meeting of the above-named Company, duly convened and held at The Grosvenor Hotel, 101 Buckingham Palace Road, London, SW1W 0SJ, on 04 November 2009 the following Resolution was duly passed:

“That it has been proved to the satisfaction of the Meeting that this Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that G W Rhodes and J J Beard, both of Begbies Traynor, 2/3 Pavilion Buildings, Brighton, East Sussex BN1 1EE, be and are hereby appointed Joint Liquidators of the Company for the purposes of such winding-up.”
