At a General Meeting of the above named Company convened and held at 92 Cromer Street, London WC1H 8DD on Wednesday 7 October 2009 at 11.00 am, the following Special Resolution numbered one and Ordinary Resolution numbered two were passed:

1. That it has been proved to the satisfaction of the meeting that the Company cannot, by reason of its liabilities, continue its business and that the Company be wound up voluntarily.

2. That Nickolas Garth Rimes and Adam Peter Jordan of Rimes & Co LLP, Bridge House, Severn Bridge, Riverside North, Bewdley DY12 1AB, be appointed as Joint Liquidators of the Company for the purposes of the voluntary winding-up.
