At a General Meeting of the above named Company duly convened and held at Brampton Road, Huntingdon, on 29 September 2009, the following Resolutions were duly passed as a Special Resolutions of the Company:

“It being desirable to reconstruct the Company, the Company be wound up voluntarily under the provisions of the Insolvency Act 1986 and that Christopher James Farrington and Christopher Richard Frederick Day, both of Deloitte LLP, 1 Woodborough Road, Nottingham NG1 3FG, be appointed joint liquidators with authority to act jointly or severally in all matters for the purpose of such voluntary winding up.”
