At a general Meeting of the above named Company, duly convened and held at Tenon Recovery, 73 Baker Street, London, W1U 6RD on 25 August 2009 the following resolutions were duly passed as a Special Resolution and as an Ordinary Resolution respectively:

“That it has been proved to the satisfaction of this meeting that the Company cannot by reason of its liabilities continue its business and that it is advisable to wind up the same and accordingly that the Company be wound up voluntarily and that Timothy John Edward Dolder and Colin David Wilson, both of Tenon Recovery, CBX II West Wing, 382-390 Midsummer Boulevard, Milton Keynes, MK9 2RG, be and are hereby appointed Joint Liquidators for the purposes of such winding up to act jointly and severally.”

At a subsequent Meeting of Creditors, duly convened pursuant to Section 98 of the Insolvency Act, 1986, and held on the same day, the appointment of Timothy John Edward Dolder and Colin David Wilson was confirmed.
