At a General Meeting of the Members of the above-named Company, duly convened, and held at the offices of Davis Bonley, Northside House, Mount Pleasant, Barnet, Herts, EN4 9EE, on 25 August 2009 at 11.30am the following Resolutions were duly passed as a Special Resolution and as an Ordinary Resolution respectively:

“That the Company be wound up voluntarily, and that Edward Christopher Wetton, of Gibson Booth, 15 Victoria Road, Barnsley, South Yorkshire S70 2BB, be and he is hereby appointed Liquidator for the purposes of such winding-up.”
