Pursuant to Legislation section: Section 378(2) of the Legislation: Companies Act 2006 and Legislation section: Section 84(1)(b) of the Legislation: Insolvency Act 1986 . At a General Meeting of the above-named Company, duly convened, and held at Brentmead House, Britannia Road, London N12 9RU, on 2 July 2009, the subjoined Special Resolution was duly passed, viz.:

“That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that Martin Henry Linton and Paul Adam Weber, of Brentmead House, Britannia Road, London N12 9RU, be and are hereby appointed Liquidator for the purposes of such winding-up.”
