Pursuant to written resolutions passed on 13 May 2009 at 3.00pm the following special resolution and ordinary resolutions were passed:

“That the Company be wound up voluntarily and that Michael Davis and David Birne, both of Fisher Partners, Acre House, 11-15 William Road, London NW1 3ER, be appointed joint liquidators of the Company for the purposes of the voluntary winding-up and that the joint liquidators be authorised to act jointly and severally in liquidation.”
