At an Extraordinary General Meeting of the members of the above named company, duly convened and held at Regus, Lakeside House, 1 Furzeground Way, Stockley Park, Heathrow UB11 1BD on 29 April 2009 the following resolutions were duly passed, as a special resolution and as an ordinary resolution respectively:

“That it has been proved to the satisfaction of this meeting that the company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the company be wound up voluntarily, and that Robert Day, of Robert Day and Company Limited, The Old Library, The Walk, Winslow, Buckingham MK18 3AJ, be and he is hereby appointed Liquidator of the Company for the purpose of the voluntary winding up.”
