At a General Meeting of the Members of the above-named Company, duly convened and held at the offices of Kyffin & Co., The Old Convent, Llanbadarn Road, Aberystwyth, Ceredigion SY23 1WX, on 28 April 2009, at 2.30 pm, the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively:

“That the Company be wound up voluntarily, and that Kenneth John Wright, of Wright Associates, First Floor, 56-57 High Street, Stourbridge, West Midlands DY8 1DE, be and is hereby nominated Liquidator of the Company for the purposes of the winding-up.”
