At Extraordinary General Meetings of the above-named Companies duly convened and held at Benedict Mackenzie LLP, 62 Wilson Street, London EC2A 2BU on 23 April 2009 the following Resolutions were duly passed as a Special Resolution and as an Ordinary Resolution respectively:

“That the Companies be wound up voluntarily and that Simon James Underwood, of Benedict Mackenzie LLP, 62 Wilson Street, London, EC2A 2BU, be and is hereby appointed Liquidator of the Companies for the purposes of the voluntary winding ups.”

At subsequent meetings of creditors held at the same place on the same date, the resolutions were ratified confirming the appointment of Simon James Underwood as liquidator.
