At a General Meeting of the above-named Company, duly convened and held at Tomlinsons, St John’s Court, 72 Gartside Street, Manchester M3 3EL, on 26 February 2009, the following Resolutions were duly passed:

“That the Company be wound up voluntarily; and that Alan Howard Tomlinson of Tomlinsons, St John’s Court, 72 Gartside Street, Manchester M3 3EL is hereby appointed as Liquidator for the purposes of such winding-up.”

At the subsequent Meeting of Creditors held on the same date, the Resolution was ratified together with the appointment of Alan Howard Tomlinson of Tomlinsons, St John’s Court, 72 Gartside Street, Manchester M3 3EL, as Liquidator of the Company.
